1. Sweepstakes Timing/Description: The Pepperidge Farm Goldfish Team Xtreme All-Star Sweepstakes (“Sweepstakes”) begins at 12:01 AM Eastern time (ET) on 9/15/09 & ends at 11:59:59 PM ET on 12/15/09 (“Promotion Period”). Promoter’s computer is the official time-keeping device for the Sweepstakes. A random drawing will be held at the end of the Promotion Period to award the six (6) Grand Prizes (“Prize Drawing”).

2. How to Enter: Go to www.goldfishfun.com at any time during the Promotion Period to enter the sweepstakes. Click on the Team Xtreme button, and you will be taken to the Team Xtreme home page. Goldfish Central members will sign in with their user name and password. They will then join Team Xtreme by providing their date of birth and home state. Lastly, they can enter the sweepstakes by providing their parental email address. Those entrants not currently Goldfish Central members will complete the Team Xtreme registration page including their user name, birth date, state, and password. Then they can enter the sweepstakes by providing their parent’s email address. For all entrants, once the page is completed, click “submit” and you will receive one entry in the sweepstakes. Each time an entrant returns, they will simply enter their user name and password. Entries must be received by 11:59:59 PM ET on 12/15/09 in order to be eligible. Limit one (1) sweepstakes entry per person/user name per day during the Promotion Period. Limit one (1) user name per person. You will only receive one entry when you register for the sweepstakes. You will not receive an entry for subsequent log-ins to the site. See paragraph 4 for how to earn additional entries in the sweepstakes. For the purposes of this promotion, a “day” is defined as the 24-hour period beginning at 12:00 AM ET and ending at 11:59:59 PM ET. Use of any automated entry software is prohibited. Online entries made with multiple user names/e-mail addresses, under multiple identities or through the use of any agent or other device or artifice to play multiple times in one day will be deemed invalid. Pepperidge Farm, Inc., 595 Westport Avenue, Norwalk, CT 06851 (“Sponsor”), Promoter, and all prize providers assume no responsibility for incorrect or inaccurate entry information, human error or technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any computer equipment or software, or any combination thereof, or for lost, stolen, late, illegible, misdirected, entries or mail. Entries that have been generated by a script, macro, bot or any other automated means will be deemed void. If a dispute results as to the identity of an online participant, it will be determined that the sweepstakes entry was submitted by the authorized account holder of the email address that was submitted with the entry. For these purposes, the authorized account holder is the natural person assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses or the domain associated with the submitted email address. Sponsor will only collect personally identifiable information from the parents of those entrants who are potential winners, and solely for the purpose of notifying winners and awarding prizes.

3. Parental Permission: Upon initial registration by a child, the parent of the entrant will be sent an email (via the email address provided upon registration), notifying them that their child (identified only by user name) would like to enter the sweepstakes. The parent can then elect to opt-out their child and prevent them from entering. If the parent opts to have the child removed from the sweepstakes, their initial entry will be void. The child will receive a message upon their next login to the site that they are not eligible to participate in the promotion. They will however be able to participate in other sections of the website. Monthly update emails will also be sent to the parent during the Promotion Period notifying them of the activity logged by their child. A parent can opt out their child at any time during the Promotion Period. For further information, parents can view the Pepperidge Farm privacy policy at www.pepperidgefarm.com.

4. Additional Entries: Entrants can earn one additional entry in the sweepstakes each day by recording their play time in the Play Tracker on the GoldfishFun.com website. An entry is earned when 30 minutes of play time is logged. There is a maximum of one additional entry each day, regardless of the amount of play time logged in the Play Tracker. An entrant can earn a maximum of 92 extra entries during the Promotion Period.

5. Grand Prize Random Drawing: Six (6) Grand Prize winners will be selected in a random drawing on or about 12/21/09 by Strobe Promotions, Inc. 535 So. Broadway, Suite 203, Hicksville, NY 11801 (“Promoter”), an independent judging organization, from among all eligible entries received. Parents of potential Grand Prize winners will be notified by email. Decisions of the judges will be final and binding on all matters relating to this Sweepstakes.

6. Eligibility: Open to legal residents of the 50 United States and the District of Columbia, ages 6 - 13 years of age only. Employees, agents, representatives, directors and officers, and their immediate families (spouse, parents, children, siblings, and their respective spouses), and the respective household members, of Sponsor, The National Basketball Association and its Member Teams and NBA Properties, Inc. (collectively, the “NBA Entities”) and each of their respective subsidiaries, affiliates, shareholders, officers, directors, agents, representatives and employees, parent companies, prize providers, individuals engaged in the development, production or distribution of Sweepstakes materials, advertising and promotion agencies, and Promoter, are not eligible to participate. Sweepstakes is subject to all federal, state, and local laws. U.S. law governs this Promotion. Sweepstakes void in overseas APO/FPOs, Puerto Rico, the Virgin Islands & where prohibited. Sponsor reserves the right to disqualify participants who violate these Official Sweepstakes Rules, or interfere with this Sweepstakes in any manner. If a participant is disqualified, Sponsor reserves the right to terminate that participant’s eligibility to participate in the Sweepstakes.

7. Prizes/Odds of Winning : (6) Grand Prizes: A 5 day/4 night trip for 4 to Dallas, TX, to attend the 2010 NBA All-Star Game. Travel must be
2/11/10 - 2/15/10. Trip includes round trip coach air transportation from the closest major airport to the winner’s home to Dallas, TX, 4 night’s quad occupancy hotel accommodations, transportation to/from the airport/hotel and four (4) tickets to the 2010 NBA All-Star Game. Grand Prize winners will have the opportunity to meet Dwyane Wade, subject to availability. ARV: $5,000/each. Prize Winner must travel with Parent or legal guardian. If an additional guest is a minor, that guest must be accompanied by his/her parent or legal guardian on the trip. Prize winner and all guests must travel on the same itinerary and all guests must sign a travel release prior to ticketing. All travel, and accommodations and other Prize related activities are at the winner’s, Parent’s and guests’ own risk. Total value of all prizes: $30,000. Odds of winning a Grand Prize in the Random Drawing is dependent on the number of eligible entries received.

8. Prize Restrictions: All prizes will be awarded approximately 4 weeks after the Promotion Period ends (subject to Sponsor’s verification of eligibility). Prizes are non-transferable; no substitutions allowed except by Sponsor due to unavailability, in which case substitution will be of equal or greater value. Actual ARV of Prize may vary based on winner’s point of departure and existing rates at time of travel, and any difference between the stated ARV and the actual value if any, will not be awarded. Final travel arrangements and choice of hotels to be determined by Sponsor in its sole discretion. Trip prize must be taken by 2/11/10 - 2/15/10 or prize will be forfeited and an alternate winner may be selected. Travel subject to availability and confirmation of reservations, certain travel restrictions and blackout dates may apply. Winner and guests must possess valid ID, and any other travel documents required in order to travel. Winner and guests are responsible for obtaining travel insurance (and all other forms of insurance) where applicable, at their option, and hereby acknowledge that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. If any part of the Prize is unable to take place as planned, for any reason, beyond the control of the Sponsor, including but not limited to, cancellation, scheduling conflicts, political conflicts or war or an event of force majeure, the remaining components of the prize will be awarded and Sponsor’s obligation to the winner will be fulfilled, and no other additional compensation will be provided. No extension or change of trip dates permitted. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates or similar items once they are in the winner’s possession, or in the possession of the winner’s guests. Limit one prize per individual/family/ household. All applicable taxes and any other costs not specifically stated herein are responsibility of the winner. Prizes may not be transferred, substituted or redeemed for cash, except at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if advertised prize is unavailable at the time the prize is awarded.

9. Grand Prize Winner Notification and Verification: Parents of potential Grand Prize winners will be notified by email on or about 12/21/09. Winner confirmation is subject to verification and compliance with these Official Rules. Parent of potential winner of Grand Prize will be required to sign and execute an affidavit of eligibility and liability release and where legal, a publicity release, and return same, properly executed, within 7 days of issuance of notification. Failure to return any or all documents as specified, a prize or prize notification being returned as undeliverable, or potential winner not complying with any term of these Official Rules will result in the participant being disqualified and the prize may be awarded to a potential alternate winner, providing sufficient time is available.

10. Conditions of Participation: By entering, entrants agree to be bound by these Official Rules & the decisions of the judges, which are final. All materials submitted in connection with the Sweepstakes become the property of the Sponsor and will not be returned. By entering, every winner consents to the use of his/her name, image, likeness, photograph, voice and biographical material for advertising, publicity and promotional purposes by Sponsor, the NBA Entities or a party designated by the Sponsor, in any and all media now or hereafter known including but not limited to, any online announcements, or for sharing this information with the press for viewing, whether TV or print, throughout the world in perpetuity, without additional compensation, notification or permission, except where prohibited by law. Entrants agree that if selected as a winner, they grant Sponsor, the NBA Entities, and its designees the right to film and later publish footage of the winners during their trip to the 2010 NBA All-Star Game. This includes, but is not limited to, any activities during the trip. Entrants release and hold harmless Sponsor, the NBA Entities, their parent companies, affiliates, agencies, Strobe Promotions, Inc. and their employees, officers, directors and shareholders (“Releasees”) from any claims, actions, injury, loss or damage of any kind, including but not limited to, personal injury or death, resulting from participating in this Promotion or from the acceptance, possession, use or misuse of any prize awarded or participation in any prize-related activity.

11. Internet: If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, or due to any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity, equipment failure, including overloading of a website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s) beyond Sponsors' sole and reasonable control, then the Sponsor reserves the right at Sponsor’s sole discretion, to void any entries at issue, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of this termination date. Releasees assume no responsibility for incorrect or inaccurate transcription of entry information, or for any human or printing error, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, delay in operation or transmission, line failures of any kind including computer equipment, software, inability to access any online service or web site, inability to access or submit the online registration form, or any other error or malfunction, or for destruction or unauthorized access to, or alteration of, entries, or for late, lost, stolen, illegible or misdirected entries. Sweepstakes materials that have been tampered with or altered are void. Releasees are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor or any Sweepstakes entry to be received on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify entrants who violate the rules or interfere with this Sweepstakes in any manner. If an entrant is disqualified, Sponsor reserves the right to terminate that entrant’s eligibility to participate in the Sweepstakes.
